Terms & Conditions

Last Updated: 2 May 2025  ·  Effective Date: 2 May 2025

Please read these Terms and Conditions carefully before using this website or engaging the services of Phra Heritage. By accessing this website or entering into an engagement with us, you agree to be bound by the terms set out below.

1. Definitions

In these Terms and Conditions, the following words have the meanings given:

2. Acceptance of Terms

By using this Website or by instructing the Firm to carry out Services, you confirm that:

If you are acting on behalf of another person or an entity, you confirm that you have authority to bind that person or entity to these Terms.

3. Description of Services

Phra Heritage offers three principal legal services from its office in Bangkok:

Services are delivered in person at our Bangkok office. Remote consultations may be arranged in appropriate circumstances by prior agreement. The Firm's services are available primarily to clients in Thailand; cross-border matters may be undertaken for clients located elsewhere by arrangement.

4. Engaging Our Services

An engagement commences when the Firm issues a written engagement letter and the Client confirms acceptance of its terms. No legal work will be carried out prior to that confirmation. The scope of work, fee, and any specific conditions are set out in the engagement letter, which forms part of the Agreement together with these Terms.

The Firm reserves the right to decline any instruction, including where a conflict of interest exists or where the Firm determines that the instruction falls outside its areas of practice.

5. Client Responsibilities

Clients are responsible for:

6. Intellectual Property

All content on this Website — including text, design elements, structure, and layout — is the property of Phra Heritage and is protected by applicable intellectual property laws. You may view and print pages from this Website for your personal, non-commercial use only.

You may not reproduce, republish, distribute, or use any content from this Website for commercial purposes without our prior written consent. Nothing in these Terms grants you any licence to use any trade name, logo, or brand element belonging to the Firm.

7. Fees and Payment

Service fees are as published on this Website and confirmed in the engagement letter. Fees are quoted and payable in Thai Baht (฿). The Firm accepts payment by bank transfer. Payment terms are set out in the engagement letter; typically, a deposit is required at the outset with the balance due prior to the signing appointment.

If additional work is required beyond the scope agreed in the engagement letter, the Firm will notify the Client and obtain agreement before proceeding. No additional fees will be charged without prior written agreement.

Cancellation and refunds: If a Client cancels an engagement after work has commenced, fees will be charged for work completed to the date of cancellation. Where no substantive work has been carried out, the deposit will be refunded in full.

8. Service Delivery Terms

The Firm will use reasonable professional skill and care in the delivery of all Services. Timelines are indicative and may vary depending on the complexity of the matter and the responsiveness of the Client and any third parties involved.

For cross-border matters involving overseas counsel, the Firm is responsible only for coordinating and communicating with those counsel; the advice and work product of overseas counsel is subject to the terms of their own engagement.

Documents prepared by the Firm are prepared for the Client's specific circumstances as disclosed to the Firm. They should not be used or adapted for other purposes without legal advice.

9. Disclaimers

This Website is provided for general information purposes. Nothing on it constitutes legal advice, and no solicitor-client relationship is created by your use of it. For advice specific to your circumstances, please contact us to arrange a consultation.

The Firm does not warrant that the Website will be continuously available or free from errors. We may make changes to the Website or its content at any time without notice.

Legal outcomes depend on individual circumstances, and we do not make any representations about the results that may be achieved through our Services.

10. Limitation of Liability

To the fullest extent permitted by Thai law, the Firm's liability in connection with the Services is limited to the fee paid by the Client for the relevant engagement. The Firm is not liable for indirect, consequential, or incidental losses arising from the use of this Website or from the Services.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

The Firm is not liable for any failure to perform its obligations where that failure results from circumstances beyond its reasonable control (force majeure), including natural disasters, government action, or interruption to communications infrastructure.

11. Confidentiality

All information shared with the Firm in the course of an engagement is held in strict confidence under solicitor-client privilege and applicable professional obligations. The Firm will not disclose client information to third parties except as required to carry out the Services (e.g., to overseas co-counsel) and then only with the Client's knowledge, or as required by law.

12. Indemnification

You agree to indemnify and hold harmless the Firm and its solicitors from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of this Website in an unlawful manner, or any information you provide to the Firm that is inaccurate or misleading.

13. Termination

Either party may terminate an engagement by written notice. The Firm may terminate an engagement with immediate effect where a Client provides false or misleading information, where a conflict of interest emerges, or where continuation of the work would be contrary to professional obligations.

Upon termination, the Client will be invoiced for work completed to the date of termination. Clauses relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of Thailand. Any dispute arising out of or in connection with these Terms or an engagement shall be subject to the exclusive jurisdiction of the Thai courts, with Bangkok as the venue.

Before commencing formal proceedings, either party may request an informal resolution meeting. The Firm is committed to addressing complaints promptly and fairly. Written complaints should be directed to [email protected].
